Terms of Service

These Terms of Service ("Terms") govern your access to and use of the DiligenceIQ website and services (collectively, the "Service") operated by DiligenceIQ ("we," "us," or "our"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Nature of the Service
DiligenceIQ provides informational screening signals derived from public filings and data sources. Results are not legal advice, certified due diligence, or a guarantee of accuracy. Users are responsible for independent verification before making decisions.
The Service is a triage and research aid — a signal to investigate further, not clearance or approval of any organization, officer, or transaction. Risk scores, red flags, narratives, and exports summarize publicly available information and automated analysis; they do not replace professional judgment, audits, legal review, or compliance programs.
2. OFAC and sanctions screening
Name-based SDN screening results are potential name matches only. A name match does not confirm that an individual is on the OFAC SDN list. Users must independently verify against official OFAC records before drawing any conclusion.
Sanctions and watchlist features surface possible matches from published lists for your review. We do not certify that any person or entity is sanctioned, cleared, or compliant with export-control or anti-money-laundering obligations.
3. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use paid features. You are responsible for activity under your session and for safeguarding any access keys or credentials we issue to you. You may not share paid access in a way that circumvents usage limits or subscription terms.
4. Subscriptions and billing
Paid plans ("DiligenceIQ Pro" or equivalent) are offered as recurring subscriptions billed monthly or annually through Stripe. Prices shown at checkout are before applicable taxes unless stated otherwise. By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis until you cancel.
- Billing cycle: You are charged at the start of each billing period (monthly or annual, depending on the plan you select).
- Renewal: Subscriptions renew automatically unless canceled before the renewal date.
- Failed payments: If a charge fails, we may suspend paid features until payment succeeds. Stripe may retry charges according to its policies.
- Price changes: We may change subscription prices with reasonable notice; changes typically apply at the next renewal after notice.
Beta or invitation access may be offered separately and is subject to the terms communicated with your invitation, including expiration and feature limits.
5. Cancellation and refunds
You may cancel a paid subscription at any time through the Stripe Customer Portal (when available from your account flow) or by contacting us at duediligenceiq@gmail.com. Cancellation stops future charges; it does not retroactively refund amounts already paid unless required by law or explicitly offered by us in writing.
After cancellation, paid features remain available until the end of the current paid period unless we terminate access earlier for a violation of these Terms. We do not guarantee prorated refunds for partial billing periods except where required by applicable law.
6. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of sanctions, export-control, or anti-discrimination laws
- Scrape, bulk-harvest, or resell Service output without our written permission
- Attempt to bypass usage limits, entitlement controls, or security measures
- Misrepresent DiligenceIQ output as an official government, legal, or audit certification
- Upload malware, probe systems without authorization, or interfere with the Service's operation
- Harass organizations or individuals based solely on automated risk signals without appropriate verification
We may suspend or terminate access immediately for conduct that risks harm to users, third parties, or the integrity of the Service.
7. Intellectual property
We own the Service, its software, branding, and original analysis layers. Public-source data (for example IRS filings via ProPublica) remains subject to the terms of those sources. You receive a limited, non-exclusive license to use the Service for your internal research and diligence workflows during an active subscription or permitted free tier. You may not copy or redistribute the Service or its code except as allowed by law or our written permission.
8. Third-party services
The Service integrates third parties including Stripe (payments), Supabase (data storage), Anthropic (AI analysis), PostHog (analytics), and public-data providers. Your use of those services may be subject to their terms. We are not responsible for third-party outages or policy changes.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETE, OR CURRENT.

10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DILIGENCEIQ AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
11. Indemnification
You agree to indemnify and hold us harmless from claims arising out of your misuse of the Service, your violation of these Terms, or decisions you make based on Service output without appropriate independent verification.
12. Changes to these Terms
We may update these Terms from time to time. We will post the revised version on this page and update the "Last updated" date. Material changes to paid subscriptions will be communicated with reasonable notice where practicable. Continued use after changes take effect constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules, except where mandatory consumer protections in your jurisdiction apply.
